CONSTITUTION AND BY-LAWS OF SAN FELIPE MISSION

SAN FELIPE, BCN, MEXICO

Article 1

Our church name is San Felipe Mission.  We operate as a Mexican Corporation

Article 2

Our Purpose.  We are a people of many Christian denominations and doctrines whose purpose is to glorify God by: 1.  growing in our knowledge of Jesus Christ.  2. making Him known in every sphere of our life.  3.    seeking the Lord, 4.   serving the body of Christ, and 5.   sharing the gospel in the greater San Felipe area and throughout the world, through the power of the Holy Spirit. 

Our Values Statement.   San Felipe Mission is an independent, non-denominational Christian Church.  We welcome believers of every Christian background as well as those of none—who may not yet know what to believe.  Our focus is on trusting and obeying the inerrant Scriptures, the Word of God, as given in the Bible, with its focus on the Gospel of Jesus Christ as good news to be shared and the world around us to be served.  We are a community relying on the Holy Spirit to transform us more and more into the image and character of our Savior pointing others to Him and displaying God’s glory to the world.  We believe there is strength for these tasks to be founded in being unified on essential biblical tenets along with the acceptance of diverse opinions on non-essentials.

Article 3

Our Beliefs

1.  We believe the Scriptures, both the Old and New Testaments, to be the inspired Word of God, without error in their original writings. 2 Timothy 3:16-17.

2.  We believe in one God, creator of all things, who exists in three persons; God the Father, God the Son, and God the Holy Spirit. Genesis 1:1; Matthew 3:16-17; Matthew 28:19.

3.  We believe that Jesus Christ is true God and became true man, having been conceived by the Holy Spirit and born of the virgin Mary.  We believe that Jesus Christ died on the cross as the sacrifice for our sins and, according to Scripture, rose from the dead and ascended into heaven, and that He is at the right hand of God on high as our high priest and advocate. Matthew 1:21-22; Mark 16:19; Romans 8:34.

4.  We believe that Adam and Eve, God’s first creation, were created in the image of God and fell into sin.  Man is therefore lost and only through accepting Jesus Christ and his death on the cross as payment for our sins are we forgiven and justified before God.  Romans 5:12-18; Acts 4:10-12; John 3:16.

5.  We believe that acceptance of the shed blood of Jesus Christ by his death on the cross and his resurrection from the dead, provides the only grounds for receiving God’s forgiving grace and justification.  Inviting Jesus into our life provides the way of salvation. John 3:16; Acts 4:12; Romans 10:9-11.

6.  We believe in the blessed assurance of the literal return of our Lord Jesus Christ. 1 Thessalonians 4:16-17; Acts 1:11; John 14:1-3.

7. We believe that the true Church is comprised of all believers who have put their faith in Jesus Christ and accepted him as Lord and Savior.  Romans 10:9-10.

8.  We believe that all true believers should partake in baptism by immersion as soon as practical after receiving Christ as their personal Savior and Lord.  Matthew 3:13-17, 28:19, Acts 8:36-38.

9.  We believe that communion is a memorial service, setting forth in a sacred and symbolic manner the death of our Lord Jesus Christ.  1 Corinthians 11:23-26.

10.  We believe that sanctification, following justification, is the continual progressive growth and experience process of Christian living under the guidance and leading of the Holy Spirit, into a deeper relationship with Christ, with resulting evidence based upon Scripture. Romans 6: 4-6, 12:1-2; 2 Thessalonians 2:13; Galatians 2:20; 2 Peter 3:18.  

Article 4

Principal Office

The principal office for the transaction of business is on the physical property of San Felipe Mission at 127 Mar de Irlanda, San Felipe, BCN, Mexico.

Article 5

Fellowship

Fellowship is the act of co-existing in harmony with a group of people or an organization.  We therefore view fellowship with San Felipe Mission as a privilege and not a right.  San Felipe Mission does not have nor maintain a membership role.  However, those who are regular in attendance at least two months out of each calendar year, may consider themselves to be a part of the San Felipe Mission Fellowship.

 

Article 6

Termination of Fellowship

Anyone absent from all services, and showing no interest in the work of the Church, for twelve consecutive months shall not be considered a part of our fellowship.  Anyone who is found to be working against the best interests of the Church either by actions or words or are causing division or discord among church attenders will be confronted by the Pastor and representatives of the Board of Trustees.  If there is no repentance and reconciliation, they will be dis-fellowshipped and will be asked not to attend any sanctioned activity of San Felipe Mission, until such repentance and reconciliation are made, and such action has been affirmed by the Pastor and the Board of Trustees.

 

Article 7.

Duties of the Board of Trustees

The Board of Trustees consist of those who are active in ministry areas, included but not limited to; music, choir, food, ushers, hospitality, worship leaders, Bible teachers, building and grounds, and treasurer. Serving in these positions does not automatically place one on the Board of Trustees.  They must be recommended and elected by a majority vote of the Board of Trustees to serve on the Board.  The Pastor shall be a member of the Board of Trustees and shall be present at all meetings.  The Pastor does not have a vote; however, he shall have input.  Trustees’ meetings shall be held at least quarterly and shall consist of the individuals on the Board of Trustees as defined in Article 7.  Any changes in the individuals on the Board of Trustees shall be recorded based upon the decision of the Board itself.  A quorum shall consist of five Trustees.  Resolutions shall be passed by an affirmative vote of at least five Trustees.  In cases that require immediate attention, the Board may be polled by telephone or in person, and items may be voted on.  In case of an unplanned absence, a proxy vote may be accepted only if the absent Trustee has been fully informed of the nature of the item to be voted on.  Large items will be taken to the congregation for discussion and consensus. 

 

Specific Duties of the Board of Trustees

1.  To ensure that the ministries and affairs of the church are carried out in accordance with the purposes and beliefs established by these by-laws.

2.  To ensure that the church is being guided by Biblical principles as outlined in this document.

3.  To exercise general oversight of church property and facilities.

4.  To select the Pastor.  To determine his annual compensation and benefits.  To conduct annual reviews of the pastor and to determine his continuing employment.

5.  Beginning with this amendment, Trustees will serve for a period of five years.  Beginning at the expiration of these new five-year terms, Trustees will be elected to terms of three, four, and five years to allow for staggered rotation.  New terms will begin with the amendment of this document.  A Trustee may only serve two consecutive terms. He or she may be re-elected after a 1-year absence, provided they still meet all of the qualifications of a Trustee.

6.  Upon expiration of the current terms of service and after the adoption of this amendment, an effort should be made to avoid husbands and wives from serving as Trustees at the same time.

Qualifications of Trustees 

A Trustee principal residence must be in San Felipe.  Trustees must reside in San Felipe for at least seven months in any calendar year, except in cases of medical events or events of a similar nature which might cause an extended absence. To be considered as a Trustee the prospective person must have publicly proclaimed Jesus Christ as their personal Savior.  They shall agree with San Felipe’s Mission Statement of Faith.  They must be an attender in good standing, and faithful to the church and its programs for a period of at least three consecutive years.

Ministries

To be considered as a ministry leader, a prospective leader must have publicly proclaimed Jesus Christ as their personal savior, be in good standing and faithful to the church and its programs for a period of at least three years. Persons being asked to serve in positions of ministry leadership must have the full approval of all of the Trustees presently serving on the Board of Trustees, prior to beginning service in such ministry. The Pastor may ask the Board to disqualify any person from being considered “for cause” which would be presented at a closed executive session of the Board of Trustees.  Ministry leaders are responsible to see that the functions of their ministry are fulfilled.  In case of a planned or unplanned absence, vacation or extended absence that would take the leader away from their ministry, the Pastor and Board of Trustees will be notified, and they shall provide temporary replacement.  The Pastor will be considered to be the official head of all church ministries and all chairpersons shall work under his supervision and at the direction of the Board of Trustees.

Article 8

Business Meetings

The Pastor shall conduct at least one general business meeting each calendar year to present the annual budget, current financial status, progress on any ongoing projects, and future plans to the congregation.  Written reports shall be made available upon request.  Time shall be given for comments and discussion of the budget report.

Meetings shall be announced, and the purpose of the meeting stated during two regular Sunday services prior to the meeting.

Article 9

 The Pastor

The Board of Trustees shall select the Pastor after informing the congregation of their intent to select a qualified candidate and allow time for congregational input and discussion. The Pastor shall preach and teach the word of God, equip the people of the congregation for ministry, and arrange for conduct of all regular services of the church.  He is responsible to God, the Board of Trustees, and the congregation to fulfill the calling that he has received.  The Pastor and all of the Trustees shall faithfully exercise whatever responsibilities and powers have been entrusted to them.

Article 10

Fiscal Year

San Felipe Mission shall operate on a fiscal year of July 1 through June 30, beginning July 1, 2007.

Article 11

Amendments

Amendments to these by-laws shall be made by an affirmative vote of the Board of Trustees 

Article 12

Effective date

This amended constitution and by-laws shall become effective July 1, 2007.

This constitution and by-laws are amended at a meeting of the Board of Trustees, October 14th, 2019.
